Corporate & Custom Order Terms & Conditions

These Corporate & Custom Order Terms & Conditions apply to all corporate and custom orders placed with Baked by Steph, including private icing workshops. They apply in addition to our General Terms & Conditions, which are available on our website. By making payment against an invoice, you confirm that you have read and agreed to both sets of terms.

1. DEFINITIONS

  • "We" / "Us" / "Our" refers to Baked by Steph.
  • "You" / "Client" refers to the individual or organisation placing the corporate or custom order.
  • "Order" refers to any bespoke or corporate product or service commissioned from us, including custom baked goods, branded products, and private icing workshops.
  • "Confirmation" means written confirmation by us that your order has been accepted.

2. QUOTATIONS & PRICING

2.1 Validity

All quotations are valid for 14 days from the date of issue unless otherwise stated. We reserve the right to revise a quote if the order details change or if costs increase due to factors outside our control.

2.2 Corporate Pricing

Corporate and custom orders are priced separately from our standard website products. Website pricing, promotional codes, and discount codes do not apply to corporate and custom orders unless explicitly agreed in writing.

3. PAYMENT

3.1 Payment Terms

Payment in full is required before we commence any corporate or custom order, unless otherwise agreed in writing. Your order is not confirmed until payment has been received.

3.2 Late Payment

Where staged payment terms have been agreed, failure to pay by the agreed date may result in your order being delayed or cancelled. We reserve the right to retain any deposit paid in such circumstances.

4. ORDER CONFIRMATION & DESIGN APPROVAL

4.1 Brief & Specification

You are responsible for ensuring that all details provided to us (including names, dates, quantities, dietary requirements, and design specifications) are accurate. We cannot accept liability for errors resulting from incorrect information provided by you.

4.2 Digital Proofs

Where a digital proof or design is provided for your approval, your written sign-off confirms the final agreed design. Once approved, no further design changes can be made at no cost.

We are not responsible for any errors or omissions in an approved proof. It is your responsibility to review all proofs carefully before approving.

4.3 Amendments

Any amendments to a confirmed order must be submitted in writing by email no later than 4 weeks before the agreed completion date.

Amendments requested after this date may not be possible. Where they are possible, they may be subject to a surcharge, which we will confirm in writing before proceeding.

4.4 Design Variations

Our products are handmade. Minor variations in colour, decoration, and finish from the proof or from previous orders are inherent to the handmade nature of our work and are not considered defects.

We reserve the right to make minor design adjustments if circumstances beyond our control affect the quality or feasibility of the finished product. We will notify you promptly of any such changes and keep them to a minimum.

5. CANCELLATIONS

5.1 Cancellations by You

Due to the bespoke nature of all corporate and custom orders, including private icing workshops, all payments are non-refundable once an order is confirmed. This is because:

  • We reserve time and capacity in our schedule specifically for your order.
  • We may decline other orders in order to fulfil your booking.
  • We may purchase specialist supplies or have custom equipment made for your order.

Any decisions to offer a refund outside of this policy will be made entirely at our discretion and do not set a precedent for future bookings.

5.2 Additional Workshop Terms

  • Any request to postpone must be agreed in writing. Rescheduled events must take place within 12 months of the original date. After this point, the booking will be forfeited with no credit.
  • No-shows on the day of a booked workshop are not eligible for a refund or reschedule.
  • Partial group cancellations (reductions in attendee numbers) made less than 2 weeks before the event may not result in a reduction in the agreed fee.

5.3 Cancellation by Us

If we need to cancel your order or workshop due to circumstances beyond our reasonable control (including illness, extreme weather, venue unavailability, or supplier failure), we will notify you as soon as possible and offer one of the following:

  • A reschedule to an agreed alternative date.
  • A full refund of amounts paid.

Our liability in such circumstances is limited to a full refund only. We are not liable for any additional costs, losses, or expenses you incur as a result.

6. SAMPLING SERVICE

For custom cookie designs, we offer a sampling service prior to committing to a full order.

6.1 Sampling Fee & Redemption

  • The sampling fee is £50, covering the creation and delivery of 2 custom cookie designs.
  • If you proceed with a full order, £25 of the sampling fee will be redeemable against your order value.
  • For orders of £2,000 or more, the full £50 sampling fee is redeemable against your order.
  • The sampling fee is non-refundable if you choose not to proceed with a full order.

6.2 Sample Lead Times & Production Scheduling

Samples require a minimum of 1 week lead time from receipt of payment.

Your full order cannot be confirmed or entered into our production schedule until payment for that order has been received in full. As our production schedule typically books up 3 to 4 weeks in advance, we strongly advise arranging your sample at least 1 month before your required delivery date or event.

We cannot guarantee production availability if a sample is arranged close to your required date. Late sampling requests do not reserve a place in our production schedule.

7. DELIVERY

7.1 UK Delivery Only

We currently deliver within the United Kingdom only. We do not offer international delivery.

7.2 Responsibility for Delivery Details

You are responsible for providing an accurate delivery address. We cannot accept liability for failed or delayed delivery resulting from an incorrect address submitted by you.

7.3 Carrier Delays

Where a perishable product is delayed in transit beyond its recommended consumption period, our liability is limited to a refund of the delivery fee. We are not liable for product spoilage caused by carrier delays outside our control.

7.4 Venue or Third-Party Collection

Where delivery to a venue or collection by a third party has been agreed, it is your responsibility to ensure someone is available to receive the order. We accept no liability for damage or loss following successful handover.

8. ALLERGENS & DIETARY REQUIREMENTS

Full allergen information will be provided with your order and on each product box.

All Baked by Steph products are made in an environment where gluten and nuts are present. Even where a product does not contain gluten or nuts as listed ingredients, we cannot guarantee against traces of either. We are therefore unable to accommodate coeliacs or those with severe nut allergies.

For corporate and custom orders where products will be distributed to multiple recipients, it is your responsibility as the client to communicate allergen information to your guests or colleagues. We are not liable for allergic reactions resulting from failure to pass on allergen information that has been provided to you.

9. INTELLECTUAL PROPERTY

9.1 Our Designs

All designs, artwork, and creative concepts produced by Baked by Steph remain our intellectual property. Ownership does not transfer to you unless agreed in writing.

9.2 Your Licence

Upon receipt of full payment, you are granted a non-exclusive licence to use photographs of your products for your own internal and promotional purposes (for example, sharing on social media or in internal communications).

9.3 Our Portfolio

We reserve the right to photograph and share images of products created for you in our portfolio, on social media, and in marketing materials, unless you notify us in writing prior to the order being confirmed that you require confidentiality.

9.4 Client-Supplied Materials

Where you supply us with logos, artwork, or other materials for use in your order, you confirm that you have the right to use these materials and grant us a licence to use them solely for the purpose of fulfilling your order. We accept no liability for any intellectual property infringement arising from materials you have provided to us.

10. LIMITATION OF LIABILITY

Our total liability to you in connection with any order, whether arising in contract, tort (including negligence), or otherwise, shall not exceed the total value of that order.

We are not liable for any indirect, consequential, special, or economic losses, including but not limited to:

  • Loss of business, revenue, or profit.
  • Reputational damage.
  • Losses arising from a delayed or cancelled event.
  • Any costs incurred by you as a result of delays or changes outside our control.

Nothing in these terms limits our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

11. FORCE MAJEURE

Neither party shall be liable for any failure or delay in performing their obligations where such failure or delay results from circumstances genuinely beyond their reasonable control, including (but not limited to) extreme weather, illness, fire, flood, pandemic, strikes, or supplier failure.

The affected party must notify the other as soon as reasonably possible. Where we are the affected party, we will offer a reschedule or a full refund as set out in Section 5.3.

12. GOVERNING LAW

These Terms & Conditions, and any dispute or claim arising out of or in connection with them, are governed by the law of England and Wales. Both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.

13. ACCEPTANCE

By making payment against a Baked by Steph invoice, you confirm that you have read, understood, and agreed to these Corporate & Custom Order Terms & Conditions and our General Terms & Conditions, which are available at our website.
